Mission: The position in the Gas and Power Division plays a critical role in providing high‑level legal and contractual expertise in support of the Company’s energy projects, ensuring that all contractual arrangements are legally robust, commercially balanced, and enforceable. SENIOR EXPERT CONTRACT MANAGEMENT
Mission: The position in the Gas and Power Division plays a critical role in providing high‑level legal and contractual expertise in support of the Company’s energy projects, ensuring that all contractual arrangements are legally robust, commercially balanced, and enforceable. The role serves as a strategic advisor to senior management, translating legal and regulatory requirements into practical business solutions and guiding the organization toward well‑informed, risk‑managed decisions.
The Major Responsibilities Include:
- Review, draft and negotiate complex commercial contracts related to the Company’s energy projects, including but not limited to shareholders’ agreements, EPC, O&M, power purchase agreements, financing agreements, and related documentation.
- Oversee contract performance and provide legal advice on the interpretation, application, and enforcement of contractual terms throughout the contract lifecycle.
- Act as a trusted legal advisor to management on all contractual and legal matters related to the Company’s projects and operations.
- Interpret and apply applicable laws and regulations relevant to the Company’s activities, including energy, construction, corporate, and regulatory frameworks, ensuring ongoing legal compliance.
- Identify key contractual and legal risks, assess their potential impact, and propose effective mitigation strategies.
- Inform management of material legal issues, including events of default, regulatory breaches, and disputes, and actively participate in their resolution.
- Monitor legal and regulatory developments at national and EU level and assess their impact on existing contracts, ongoing projects, and future investments.
- Support management in the pre-contractual assessment of new projects, including review of legal due diligence materials, regulatory feasibility, and participation in preliminary negotiations with project owners and stakeholders.
- Work closely with the Country Manager on all material legal and contractual matters, including negotiation strategy, risk management, project structuring, and assessment of new business opportunities.
- Collaborate with Finance to align contractual structures with the Company’s financial, funding, and bankability requirements.
- Collaborate with project teams to ensure that contractual terms reflect internal project requirements, timelines, and commercial objectives.
- Ensure alignment between contractual arrangements and mandatory legal requirements, including permits, licenses, grid connection rules, and regulatory approvals.
- Support interactions with regulators, public authorities, and counterparties by providing legal interpretation, compliance guidance, and structured responses.
- Coordinate with internal legal functions and external legal counsel as required to ensure consistent legal positions and efficient handling of complex matters.
- Ensure that contractual and project structures meet lender and financing institution requirements, supporting project bankability and successful financial close, including coordination with banks and external financing counsel.
- Support corporate governance processes by ensuring legally compliant decision-making, approval frameworks, and delegation of authority in line with applicable laws, internal policies, and Group requirements.
- Provide legal input into investment and strategic decision-making processes, including assessment of legal feasibility, structuring options, and risk allocation for mergers & acquisitions, joint ventures, and greenfield energy projects.
- Develop, maintain, and continuously improve contractual standards, templates, and internal legal guidelines to ensure consistency, efficiency, and effective legal risk management across all projects.
- Lead legal strategy for dispute prevention, claims management, and resolution, including coordination of arbitration, litigation, settlement negotiations, and engagement with external legal advisors.
- Relevant professional experience > 7 years
- Experience in one or more of the following fields is desirable – energy, real estate and construction, mergers and acquisitions (M&A), investment agreements, shareholders’ agreements
- Law degree from an accredited university
- Expert knowledge of Bulgarian commercial and contract law
- Excellent contract drafting skills
- Excellent proficiency in English language (written and spoken)
- Strong analytical abilities for reviewing and interpreting complex legal documents
- High attention to detail and accuracy in legal documentation
- Excellent negotiation skills
- Excellent written and verbal communication skills for diverse international audiences.
- Ability to balance legal risk with commercial objectives.
- Ability to multi-task and work independently
