We are seeking a highly motivated, organized and self-disciplined Corporate Governance Officer to join our esteemed bank as part of the corporate governance and corporate law counsel team. This role is vital in ensuring that the bank adheres to the highest standards of corporate governance, regulatory compliance, and ethical business practices. The Corporate Governance Officer will work closely with the boards, the senior management and various internal structures to help maintain the integrity and transparency of the bank’s operations. The position also includes certain company secretariat functions.

CORPORATE GOVERNANCE OFFICER

YOUR ROLE:

  • Organize and coordinate Board meetings, ensuring proper governance practices in the decision-making processes;
  • Assist in preparing agendas, minutes, and resolutions for Board and Committee meetings;
  • Prepare and keep all powers of attorney for the representation of the majority shareholder at the General Meetings of Shareholders;
  • Regularly prepare and submit to the majority shareholder reports and other required corporate information;
  • Ensure all corporate documents are timely prepared, revised, submitted, approved and signed;
  • Prepare drafts and send for signature and/or registration (if necessary) of general and/or special powers of attorney for employees, directors or executive directors of the Bank;
  • Monitor and/or take the necessary actions to extend the validity of any authorization which the Bank is required to obtain from the Bulgarian authorities, as well as for the submission of all documents which the Bank is required to submit on a regular basis;
  • Periodically review and prepare draft proposals for amendment of the Bank's Articles of Association and the applicable rules of the Supervisory Board and the Management Board and coordinate the proposals of all shareholders and the Management of the Bank for such changes;
  • Responsible for the preparation of documents, submission and completion of announcement of acts, entering and changing in the circumstances in the account of the Bank and Group companies in the Commercial Register and Register of Non-profit Legal Entities as well as in other public registers;
  • Identify and inform members of the Boards, General Managers and Heads of Business Units who are subject to regulatory reporting and/or monitoring. Assist such persons to comply with laws and regulations affecting them as a result of their positions. The assistance may take the form of informative guidance or even help in the completion of relevant forms;
  • Develop, implement, and monitor the corporate governance policies and procedures to ensure compliance with national and international regulatory requirements;
  • Conduct training sessions for staff, management, and the Board on corporate governance practices, legal and regulatory compliance, and ethical standards;
  • Foster a culture of transparency, integrity, and accountability across the bank;
  • Stay updated on corporate governance trends, industry standards, and regulatory developments.
  • Recommend improvements and modifications to governance practices as necessary to enhance the bank’s performance and reputation.
  • Other corporate governance tasks and functions as per the Group policies and practices.


WHAT WE ARE LOOKING FOR:

  • University Degree – Law/ Economics/ Business Administration/ International Relations;
  • Experience in a field relevant to corporate governance such as accounting and auditing, legal, securities and stock market developments, management consulting or technical assistance;
  • At least 2 years of relevant experience;
  • Excellent knowledge of grammatically correct Bulgarian language - written and spoken;
  • Fluency in English – written and spoken;
  • PC skills: Word, Excel, PowerPoint – advanced level;
  • Ability to manage multiple tasks and work under pressure;
  • Excellent communication and organizational skills;
  • Excellent presentation and negotiation skills;
  • Strong problem solving skills;
  • Analytical thinking.
